Terms of Service

1. Eligibility

You must be at least 18 years old and have the authority to enter into these Terms to use Qofi. By using the Services, you represent and warrant that you meet these requirements. If you are using Qofi on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2. Use of Services

Subject to these Terms, Qofi grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for lawful business or personal purposes. You agree not to:

• Use the Services for any unlawful, harmful, or abusive activity
• Interfere with or disrupt the integrity or performance of Qofi
• Attempt to gain unauthorized access to systems or data
• Reverse engineer, decompile, or attempt to extract source code
• Use the Services to infringe intellectual property or privacy rights

3. Accounts and Security

Some features of Qofi may require account creation. You are responsible for maintaining the confidentiality of your account credentials, all activity that occurs under your account, and notifying Qofi promptly of unauthorized use or security breaches. Qofi is not responsible for losses resulting from unauthorized access due to your failure to safeguard credentials.

4. User Content

You may submit information, data, or other content through the Services ("User Content"). You retain ownership of your User Content. By submitting it, you grant Qofi a limited license to use, process, and display the content solely to provide and improve the Services. You represent that you own or have rights to submit the content and that your content does not violate laws or third-party rights. Qofi does not claim ownership over your content.

5. AI-Powered Features

Qofi provides AI-driven features intended to support decision-making and workflows. Outputs are generated based on patterns and data and may not always be accurate or complete. You acknowledge and agree that AI outputs are provided "as-is," that you are responsible for reviewing and validating outputs before relying on them, and that Qofi is not responsible for decisions made based on AI-generated results.

6. Fees and Subscriptions

Certain Services may require payment. If applicable, fees are described at the time of purchase, payments are non-refundable unless stated otherwise, and Qofi may change pricing with reasonable notice. Failure to pay may result in suspension or termination of access.

7. Intellectual Property

All rights, title, and interest in the Services, including software, designs, text, graphics, trademarks, and logos, are owned by or licensed to Qofi and protected by intellectual property laws. Nothing in these Terms grants you ownership rights in Qofi's intellectual property.

8. Third-Party Services

The Services may integrate with or link to third-party tools or services. Qofi is not responsible for third-party content, policies, or practices. Your use of third-party services is governed by their respective terms.

9. Termination

Qofi may suspend or terminate your access to the Services at any time if you violate these Terms or use the Services in a way that could cause harm or legal risk. You may stop using the Services at any time. Upon termination, your right to access the Services ends immediately.

10. Disclaimer of Warranties

The Services are provided "as is" and "as available." To the maximum extent permitted by law, Qofi disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Qofi does not guarantee uninterrupted, error-free, or secure operation.

11. Limitation of Liability

To the maximum extent permitted by law, Qofi shall not be liable for any indirect, incidental, special, consequential, or exemplary damages, including loss of data, profits, or business interruption. In no event shall Qofi's total liability exceed the amount paid by you to Qofi in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Qofi and its officers, directors, employees, and affiliates from any claims, damages, liabilities, and expenses arising from your use of the Services or violation of these Terms.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

14. Changes to These Terms

Qofi may update these Terms from time to time. Changes become effective upon posting. Continued use of the Services constitutes acceptance of the updated Terms.
