terms of use

The terms that apply to your use of qofi.ai and the Qofi Services, operated by Qofi, Inc.

These Terms of Use govern access to and use of https://www.qofi.ai (the "Website") and Qofi's products, services, and applications (collectively, the "Services"), including the Qofi Experts experience and Qofi Reserve worker platform, operated by Qofi, Inc. ("Qofi", "we", "us", or "our"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services. Client, contractor, confidentiality, data-processing, and engagement-specific written agreements govern their subject matter and prevail over these Terms where they conflict.

1 — eligibility and authority

You must be at least 18 years old and authorized to enter into this agreement on behalf of yourself or the organization you represent. The current Reserve contractor program is for individual United States persons eligible to perform services as independent contractors. Qofi does not use Reserve to onboard W-2 employees or international contractors at this time.

2 — accounts and authentication

You must provide accurate, current information and keep it updated. Human Reserve accounts use Google authentication; you must control the Google account you use and may not share access or allow another person to act through your account. You are responsible for activity under your account and must promptly notify Qofi of suspected unauthorized access.

Qofi may require additional verification, replace or revoke sessions, restrict account features, or refuse access where reasonably necessary to protect the Services, comply with law, or enforce these Terms. Creating another account or profile to evade a restriction is prohibited.

3 — opportunities and applications

Qofi controls when an opportunity is published, changed, paused, or closed. A listing, invitation, invitation-request approval, application receipt, assessment result, or placement in a review pool is not an employment or engagement offer. Qofi may decide whether and when to advance, decline, or close a candidacy, subject to applicable law. You may withdraw an application at any time, but Qofi may retain the related record as described in the Privacy Policy.

Application and profile information must be truthful, complete, and your own. You may not impersonate another person, submit another person's resume or work, conceal a material conflict, or misrepresent qualifications, availability, identity, location, work authorization, or prior relationship with Qofi.

4 — assessments and evaluation

Assessments, answer keys, workbooks, prompts, evaluation methods, thresholds, scores, reviewer notes, and results are Qofi confidential information. You may use assessment materials only to complete the assessment assigned to you. Unless Qofi expressly authorizes it, you may not share, publish, copy, screenshot, record, sell, reverse engineer, retain for another person, obtain answers from another person, complete another person's assessment, or use unauthorized assistance. Your submission must be your original work, and you may use only the tools, references, collaboration, or AI assistance expressly allowed in the assessment instructions. Tell Qofi promptly if you previously encountered or received the same confidential assessment material.

Qofi may automatically score eligible structured answers using a threshold set for the applicable job. Passing places a candidate into a human review pool and does not automatically create an offer or engagement. Qofi keeps numeric scores, thresholds, question-level correctness, internal notes, and pass/fail results confidential and does not display them to candidates, including candidates later approved for an engagement, except where applicable law requires disclosure.

An assessment is unpaid unless the applicable job posting or assessment instructions expressly identify it as paid. For a paid assessment, you become eligible for the stated assessment payment after Qofi records a passing result and validates the required submission. Payment remains subject to the stated assessment terms, fraud and duplicate-submission checks, required tax and payment setup, lawful holds, and provider processing. Passing does not guarantee an engagement or future work.

5 — engagements, classification, and payments

Any engagement requires a separate written agreement and completion of Qofi's onboarding requirements. The agreement—not a job listing or general Website statement—controls classification, scope, rate, approved work, ownership, confidentiality, duration, termination, expenses, and payment terms. Unless a signed agreement says otherwise, nothing in the Services creates employment, an agency relationship, a partnership, exclusivity, guaranteed work, guaranteed hours, or a guaranteed duration.

Current Reserve engagements use U.S. 1099 independent-contractor arrangements. Depending on the payment type and Qofi's current operating process, Qofi may administer contractor, assessment, referral, or other approved payments and related tax reporting through Gusto, Stripe, or another provider identified to you. A particular provider may be introduced or changed over time; not every payment will use every provider. You must complete required identity, screening, tax, payment, and account steps and provide accurate information to Qofi and its providers. References to weekly payment are subject to the applicable agreement, approved time or deliverables, Qofi's review and payment controls, holds required for security or compliance, and provider processing. You remain responsible for your own taxes, insurance, licenses, equipment, and expenses except as a written agreement provides.

Rates and compensation changes must be approved and documented by Qofi through Reserve or a written agreement. A statement or promise from a client or project participant does not change Qofi's payment obligation unless Qofi confirms it in writing. During an engagement, you may not move Qofi-sourced work outside Qofi's contracting or payment process, negotiate a replacement arrangement intended to bypass Qofi, or accept direct payment for that work without Qofi's prior written approval. Any post-engagement non-solicitation or non-circumvention obligation applies only if it appears in a separate agreement you sign.

6 — referral program

When Qofi expressly enables a referral program, only an eligible active Qofi network member may participate. Before directly providing another person's information, you must obtain their permission and provide any legally required notice. You may instead share an authorized Qofi referral link so the person can decide whether to apply.

You must identify your relationship with Qofi accurately and may not impersonate Qofi, act as its recruiter or agent, promise selection, work, compensation, or an assessment outcome, submit a self-referral, create duplicate or automated referrals, pressure a person to apply, send unlawful unsolicited messages, or provide false or misleading information. A referral never changes the ordinary application and assessment process.

A reward is available only when the applicable role has referrals enabled, Qofi attributes the candidate through the authorized link or process, the candidate was not already in Qofi's records through another source, and the candidate completes the qualification conditions shown for that referral—currently onboarding and a first verified contribution. Unless Qofi states otherwise, only one referrer and one reward may be attributed per candidate, and attribution is not retroactive. The amount shown when the referred candidate applies controls; later changes are prospective.

Referral rewards are gross amounts, subject to verification, required tax information, lawful withholding, and payment-provider processing. Qofi may reject or reverse a duplicate, fraudulent, ineligible, erroneous, or legally prohibited reward, but will not retroactively reduce an amount already qualified under the published conditions. Qofi may change, suspend, or end the program prospectively. Program descriptions do not create an engagement, agency relationship, or guarantee of future referrals or rewards.

7 — content and work product

As between you and Qofi, you retain ownership of application content and other materials you owned before providing them. You grant Qofi a worldwide, non-exclusive, royalty-free licence to host, copy, process, evaluate, transmit, and display submitted content as reasonably necessary to operate, secure, and improve the Services, administer your candidacy or relationship, and comply with law. You represent that you have the rights needed to provide that content and that doing so does not violate law, confidentiality, privacy, or another person's rights.

Ownership and permitted use of deliverables and other work product created during an engagement are governed by the applicable written agreement. Do not upload confidential information belonging to a current or former employer, client, or other third party unless you are authorized to do so.

8 — confidentiality

You must protect nonpublic information made available through the Services, including project data, client information, assessment materials, product information, access credentials, and other information that a reasonable person would understand to be confidential. Use it only for the authorized purpose, apply reasonable safeguards, and notify Qofi promptly of suspected loss or unauthorized access. Additional confidentiality duties in a written agreement continue to apply.

9 — acceptable use

You may not:

  • Use the Services unlawfully or violate another person's intellectual-property, privacy, confidentiality, or other rights.
  • Access data, accounts, projects, or systems without authorization, or probe, scan, bypass, or defeat a security or access control.
  • Disrupt, overload, damage, or introduce malicious code into the Services.
  • Scrape, harvest, bulk-download, reverse engineer, or derive source code from the Services except where applicable law expressly permits it.
  • Automate account creation, applications, assessment submissions, time records, or platform activity without Qofi's written authorization.
  • Submit fraudulent time, deliverables, expenses, identity, tax, payment, application, or assessment information.
  • Use another person's account or help a restricted person evade a ban, hold, suspension, or offboarding decision.

10 — AI features and informational content

AI-generated or automated outputs may be inaccurate, incomplete, or unsuitable for a particular purpose. You are responsible for reviewing outputs before relying on or delivering them. Content on the Website, including insights and case studies, is for general information only and is not financial, legal, investment, tax, employment, or other professional advice.

11 — intellectual property

The Services and their software, text, design, graphics, logos, assessment materials, and other content belong to Qofi or its licensors and are protected by law. Subject to these Terms, Qofi grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for their intended lawful purpose. You may view, share links to, and quote brief Website excerpts with attribution. Other reproduction or use requires written permission. Third-party names and marks belong to their respective owners.

12 — third-party services

The Services may depend on or link to third-party services, including authentication, hosting, communications, collaboration, screening, identity, tax, and payment providers. Their terms and privacy notices may apply to your direct use of their services. Qofi does not control and is not responsible for third-party services, but this does not limit responsibilities Qofi cannot lawfully exclude.

13 — privacy

Our Privacy Policy explains how Qofi collects, uses, discloses, and retains personal information. By using the Services, you acknowledge that policy. Separate notices and authorizations may apply to background checks, identity verification, tax, payments, and client projects.

14 — suspension, restrictions, and termination

Qofi may suspend, restrict, investigate, hold, or terminate access; close applications; pause or terminate engagements; revoke sessions; and remove access to connected systems when reasonably necessary for security, safety, fraud prevention, legal or contractual compliance, nonpayment risk, violation of these Terms or another agreement, or protection of Qofi, clients, users, or others. Qofi may retain and use linked identity and enforcement records to prevent evasion and repeat misuse. Qofi will not erase earned compensation merely because access is restricted; payment remains subject to the applicable agreement, validation, lawful holds, and payment processing.

You may stop using the Services at any time. Provisions that by their nature should survive—including confidentiality, ownership, payment, disclaimers, liability, governing law, and retained-record provisions—survive termination.

15 — disclaimer of warranties

The Services are provided "as is" and "as available". To the maximum extent permitted by law, Qofi disclaims all express or implied warranties, including merchantability, fitness for a particular purpose, title, noninfringement, availability, accuracy, and any warranty that use will result in an application, engagement, particular volume of work, or payment outside an executed agreement.

16 — limitation of liability

To the maximum extent permitted by law, Qofi will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost data, profits, revenue, business, or opportunities, arising from or related to the Services. In no event shall Qofi's total liability arising from the Services exceed the amount paid by you to Qofi in the twelve (12) months preceding the claim. These limitations do not apply where applicable law does not permit them.

17 — governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. A separate written agreement may specify different law or dispute terms for its subject matter.

18 — changes and general terms

We may update these Terms as the Services or law changes. We will update the effective date and provide additional notice when required. Continued use after updated Terms take effect constitutes acceptance. If a provision is unenforceable, the remainder remains effective. A failure to enforce a provision is not a waiver. You may not assign these Terms without Qofi's written consent; Qofi may assign them in connection with a reorganization, financing, merger, acquisition, or transfer of the Services.
